Healthpoint Acquires Topical Collagenase Business Healthpoint (Fort Worth, Tex) and BioSpecifics Technologies Corp. (Lynbrook, NY) announce the sale of BioSpecifics’ topical collagenase business. As part of the agreement, Healthpoint’s affiliate will assume ownership and operation of the BioSpecifics’ manufacturing facility in Curaçao and other assets owned by BioSpecifics’ affiliate, Advance Biofactures Corporation. The deal will involve $8 million in upfront cash to BioSpecifics and an additional payment for future services to be provided by Advance Biofactures Corporation. The deal terms also include the potential for BioSpecifics’ to benefit from an earn-out based on sales. Healthpoint’s affiliate plans to invest $1.5 million to upgrade the newly acquired manufacturing facility, which currently produces Collagenase ABC, an enzyme derived from the fermentation of the bacterium Clostridium histolyticum. Worldwide Organization to Recognize Swiss-American Products for Development of Elta Proteases™ Swiss-American Products, Inc. (Dallas, Tex) has developed a product line that will be the focus of a presentation during the upcoming Wound Healing Society meeting to be held May 14–17, 2006, in Scottsdale, Ariz. The presentation, titled “Elta Hydrovase Wound Dressing Components Degrade Proteins Detrimental to Wound Healing,” will provide information from a recent study by the University of Florida on a proprietary blend of protease enzymes developed by Swiss-American. Biopharmaceutical Company will Explore Use of Gaseous Nitric Oxide for Treatment of Chronic Wounds VIASYS Healthcare Inc. (Conshohocken, Pa) recently completed a transaction in which it formed Theranox Inc., a company dedicated to exploring medical applications of topically applied gaseous nitric oxide (gNO). Quaker BioVentures and NewSpring Capital, both Philadelphia-based venture capital firms, jointly led the initial financing of Theranox, and VIASYS participated in the financing as an investor. VIASYS owns or controls an extensive patent portfolio for the topical use of gNO and has exclusively licensed these patents to Theranox for use in this field. The license agreement provides for milestone payments, technology access fees, and royalty payments to VIASYS. Theranox, Inc. is a venture-backed start-up company dedicated to exploring medical applications of topically applied gNO.
